General

    1. The terms and conditions published herein in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms and Conditions for access or usage of www.darto.in website.
    2. The domain name www.darto.in (hereinafter referred to as "Website") is owned by viz creative Private Limited (hereinafter referred to as "Darto") a company incorporated under the Companies Act, 1956 with its registered office at Delhi– 110096, Delhi, India.
    3. Buyer’s/members use of the Website and services and tools are governed by the following terms and conditions as applicable to the Website including the applicable policies which are incorporated herein by way of reference. If the Buyers transact on the Website, The Buyers shall be subject to the policies that are applicable to the Website for such transaction. By mere use of the Website, The Buyers shall be impliedly contracting with Darto and these terms and conditions including the policies constitute Buyer’s binding obligations, with Darto.
    4. For the purpose of these Terms and Conditions, wherever the context so requires “Buyer” shall mean any natural or legal person who has agreed to become a buyer at any of Darto’s offline B2C stores (“Stores”), or on the Website by providing Registration Data while registering on the Website as Registered Buyer using the computer systems. Darto allows the Buyer to surf the Website with registering on the Website, however to make purchases, the Buyer must be registered on the Website.
    5. When The Buyers/members use any of the services provided by Darto through the Website, including but not limited to, (e.g. Product Reviews), The Buyers will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms and Conditions and shall be considered as part and parcel of this Terms and Conditions. Darto reserves the right, at Darto’s sole discretion, to change, modify, add or remove portions of these Terms and Conditions, at any time without any prior written notice to The Buyers. It is Buyer’s responsibility to review these Terms and Conditions periodically for updates / changes. Buyer’s continued use of the Website following the posting of changes will mean that The Buyers accept and agree to the revisions. As long as The Buyers comply with these Terms and Conditions, Darto grant The Buyers a personal, non-exclusive, non-transferable, limited privilege to enter and use the Website.
    6. ACCESSING, BROWSING OR OTHERWISE USING THE SITE INDICATES BUYER’S AGREEMENT TO ALL THE TERMS AND CONDITIONS, SO PLEASE READ THE TERMS AND CONDITIONS CAREFULLY BEFORE PROCEEDING. By impliedly or expressly accepting these Terms and Conditions, The Buyers also accept and agree to be bound by Darto Policies (including but not limited to Privacy Policy etc.) as amended from time to time.

    Eligibility

    1. Usage of, and purchases at the Website/Stores is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, persons of unsound mind, un-discharged insolvents etc. are not eligible to use the Website. If the Buyers are a minor i.e. under the age of 18 years, the Buyers shall not register on the Darto website and shall not transact on or use the website. As a minor if the Buyers wish to use or transact on the website, such use or transaction may be made by Buyer’s legal guardian or parents on the Website. Darto reserves the right to terminate Buyer’s membership and / or refuse to provide the Buyers with access to the Website if it is brought to Darto's notice or if it is discovered that the Buyers are under the age of 18 years.

    Buyer’s Account and Registration Obligations

    1. If The Buyers use the Website and register as a buyer, The Buyers shall be responsible for maintaining the confidentiality of Buyer’s Display Name and Password and The Buyers shall be responsible for all activities which occur under Buyer’s Display Name and Password. The Buyers agree that if The Buyers provide any information that is untrue, inaccurate, not current or incomplete or Darto has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms and Conditions, Darto shall have the right to indefinitely suspend or terminate or block access of Buyer’s membership on the Website and refuse to provide The Buyers with access to the Website.

    Communications

    1. When The Buyers use the Website or send emails or other data, information or communication to us, The Buyers agree and understand that The Buyers are communicating with Darto through electronic records and The Buyers consent to receive communications via electronic records from Darto periodically and as and when required. Darto may communicate with the Buyers by email or by such other mode of communication, electronic or otherwise.
    2. Platform for Transaction and Communication: The Website is a platform that Buyers utilize to discover Darto products and to show interest in purchasing these products.

    Henceforward

    1. All commercial/contractual terms are offered by and agreed to between the Buyers and Darto. The commercial/contractual terms include without limitation, price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to products and services and after sales services related to products and services.
    2. The Buyers can take a close look at the Website for a complete description of the products. In spite of Darto doing its best to describe and present the articles being sold on the website as accurately as possible, some product characteristics may be altered slightly. Despite all precautions by Darto, there may be inadvertent errors, and Darto shall not under any circumstances be held liable should this arise.     5. Disclaimer: The prices displayed on products are expressed in Indian Rupees and shall include all taxes applicable by law. Product prices shall not include delivery charges, the cost of certain forms of packing or charges for certain optional services selected by the Customer. DARTO shall have the right to refuse or cancel any orders placed by the Customer. Pricing on any product(s) as is reflected on the Website may be subjected to some technical issue, typographical error or product information published may be incorrectly reflected and in such an event Darto may cancel Buyer’s order(s).
    6. The Buyers release and indemnify Darto and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions of the Buyers of the Website and specifically waive any claims that the Buyers may have in this behalf under any applicable law. Notwithstanding its reasonable efforts in that behalf, Darto cannot take responsibility or control the information provided by other Buyers which is made available on the Website. The Buyers may find other Buyer's information to be offensive, harmful, inconsistent, inaccurate, or deceptive. Please use caution and practice safe trading when using the Website.
    7. Please note that there could be risks in dealing with underage persons or people acting under false pretence.
    8. Unless otherwise specified explicitly, all Terms and Conditions entailed herein are enforceable to Buyer’s visit or purchase at Darto’s stores.

    Charges

    1. Membership on the Website is free for buyers. Darto does not charge any fee for browsing and buying on the Website. Darto reserves the right to change its Fee Policy from time to time. In particular, Darto may at its sole discretion introduce new services and modify some or all of the existing services offered on the Website. In such an event Darto reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. Changes to the Fee Policy shall be posted on the Website and such changes shall automatically become effective immediately after they are posted on the Website. Unless otherwise stated, all fees shall be quoted in Indian Rupees. The Buyers shall be solely responsible for compliance of all applicable laws including those in India for making payments to Darto.

    8. involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming";
    9. promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous;
    10. infringes upon or violates any third party's rights [including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address or phone number) or rights of publicity];

    19. interferes with another Buyer's use and enjoyment of the Website or any other individual's Buyer and enjoyment of similar services;
    20. refers to any website or URL that, in Darto’s sole discretion, contains material that is inappropriate for the Website or any other website, contains content that would be prohibited or violates the letter or spirit of these Terms and Conditions.
    21. harm minors in any way;
    22. infringes any patent, trademark, copyright or other proprietary rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent;
    23. violates any law for the time being in force;
    24. deceives or misleads the addressee/ Buyers about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
    25. impersonate another person;
    26. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resoursce; or contains any trojan horses, worms, time bombs, cancel bots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
    27. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

    29. shall not, directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force.
    30. shall not create liability for Darto or cause Darto to lose (in whole or in part) the services of Darto’s internet service provider ("ISPs") or other suppliers;

The Buyers shall not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Website. Darto reserves the right to bar any such activity.
    32. The Buyers shall not attempt to gain unauthorized access to any portion or feature of the Website, or any other systems or networks connected to the Website or to any server, computer, network, or to any of the services offered on or through the Website, by hacking, password "mining" or any other illegitimate means.
    33. The Buyers shall not probe, scan or test the vulnerability of the Website or any network connected to the Website nor breach the security or authentication measures on the Website or any network connected to the Website. The Buyers may not reverse look-up, trace or seek to trace any information on any other Buyer of or visitor to Website, or any other customer, including any account on the Website not owned by The Buyers, to its source, or exploit the Website or any service or information made available or offered by or through the Website, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than Buyer’s own information, as provided for by the Website.
    34. The Buyers shall not make any negative, denigrating or defamatory statement(s) or comment(s) about Darto or the brand name or domain name used by Darto including but not limited to the terms “Darto”, “Darto.in”, or otherwise engage in any conduct or action that might tarnish the image or reputation of Darto on platform or otherwise tarnish or dilute any Darto's trade or service marks, trade name and/or goodwill associated with such trade or service marks, trade name as may be owned or used by us. The Buyers agree that they will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Website or Darto's systems or networks, or any systems or networks connected to Darto.
    35. The Buyers agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any transaction being conducted on the Website, or with any other person's use of the Website.
    36. The Buyers may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal The Buyers send to Darto, on or through the Website or any service offered on or through the Website. The Buyers shall not pretend that The Buyers are, or that The Buyers represent, someone else, or impersonate any other individual or entity.
    37. The Buyers may not use the Website or any content for any purpose that is unlawful or prohibited by these Terms and Conditions, or to solicit the performance of any illegal activity or other activity which infringes the rights of Darto and / or others.
    38. The Buyers shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable Domestic laws, rules and regulations (including the provisions of any applicable Exchange Control Laws or Regulations in Force) and International Laws, Foreign Exchange Laws, Statutes, Ordinances and Regulations (including, but not limited to Sales Tax/VAT, Income Tax, Service Tax, Central Excise, Custom Duty, Local Levies) regarding Buyer’s use of Darto’s service and Buyer’s listing, purchase, solicitation of offers to purchase, and sale of products or services. The Buyers shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.
    39. Solely to enable Darto to use the information The Buyers supply to Darto, so that Darto is not violating any rights The Buyers might have in Buyer’s Information, The Buyers agree to grant Darto a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights The Buyers have in Buyer’s Information, in any media now known or not currently known, with respect to Buyer’s Information. Darto will only use Buyer’s information in accordance with the Terms and Conditions and Privacy Policy applicable to use of the Website.
    40. The Buyers shall be responsible to up keeping the providing information relating to the products proposed to be sold by Us. In this connection, The Buyers undertake that all such information shall be secured in all respects. The Buyers shall not defame the attributes of such products or services so as to mislead other Buyers in any manner.
    41. The Buyers shall not engage in advertising to, or solicitation of other Buyers of the Website to buy any products, including, but not limited to, products or services related to that being displayed on the Website or related to us. The Buyers may not transmit any chain letters or unsolicited commercial or junk email to other Buyers via the Website. The Buyers understand that Darto have the right at all times to disclose any information (including the identity of the persons providing information or materials on the Website) as necessary to satisfy any law, regulation or valid governmental request. This may include, without limitation, disclosure of the information in connection with investigation of alleged illegal activity or solicitation of illegal activity or in response to a lawful court order or subpoena. In addition, Darto can (and The Buyers hereby expressly authorize Darto to) disclose any information about The Buyers to law enforcement or other government officials, as we, in Darto’s sole discretion, believe necessary or appropriate in connection with the investigation and/or resolution of possible crimes, especially those that may involve personal injury.

In no event shall Darto assume or have any responsibility or liability for any Content posted by another Buyer or for any claims, damages or losses resulting from use of Content and/or appearance of Content on the Website. The Buyers hereby represent and warrant that the content the Buyers publish on the Website shall not infringe any proprietary or other rights of Darto or any third parties or contain any libellous, tortious, or otherwise unlawful information.
    43. Buyer’s correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Website, including payment and delivery of related products, and any other terms, conditions, warranties or representations associated with such dealings, are solely between The Buyers and such advertiser. Darto shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Website.
    44. It is possible that other Buyers (including unauthorized Buyers or "hackers") may post or transmit offensive or obscene materials on the Website and that The Buyers may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about The Buyers due to Buyer’s use of the Website, and that the recipient may use such information to harass or injure The Buyers. Darto does not approve of such unauthorized uses, but by using the Website The Buyers acknowledge and agree that Darto is not responsible for the use of any personal information that The Buyers publicly disclose or share with others on the Website.     45. Darto shall have all the rights to take necessary action and claim damages that may occur due to Buyer’s involvement/participation in any way on Buyer’s own or through group/s of people, intentionally or unintentionally in DoS/DDoS (Distributed Denial of Services).
    46. The Buyers shall not have the right to resell any of the products purchased from Darto.in unless such right is expressly granted to the Buyer in writing by Darto.
    47. Darto reserves the right to restrict the sale of goods/services.

    Contents Posted on Website

    1. In relation to the products offered on the website, the text, graphics, Buyer interfaces, visual interfaces, photographs, trademarks, logos, sounds, music and artwork (collectively, "Content"), is Darto generated content.
    2. Except as expressly provided in these Terms and Conditions, no part of the Website and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Website or other medium for publication or distribution or for any commercial enterprise, without Darto's express prior written consent.
    3. The Buyers may use information on the products and services purposely made available on the Website for downloading, provided that The Buyers (1) do not remove any proprietary notice language in all copies of such documents, (2) use such information only for Buyer’s personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) do not make any additional representations or warranties relating to such documents.
    4. The Buyers shall be responsible for any notes, messages, emails, billboard postings, photos, drawings, profiles, opinions, ideas, images, videos, audio files or other materials or information posted or transmitted to the Website (collectively, "Content"). Such Content will become Darto’s property and The Buyers grant Darto the worldwide, perpetual and transferable rights in such Content. Darto shall be entitled to, consistent with Darto’s Privacy Policy as adopted in accordance with applicable law, use the Content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include the Content The Buyers provide. The Buyers agree that any Content the Buyers post may be used by us, consistent with Darto’s Privacy Policy and Rules of Conduct on Site as mentioned herein, and The Buyers are not entitled to any payment or other compensation for such use.

    Privacy

    1. Darto views protection of Buyer’s privacy as a very important principle. Darto understands clearly that The Buyers and Buyer’s Personal Information is one of Darto’s most important assets. Darto stores and process Buyer’s Information including any sensitive financial information collected (as defined under the Information Technology Act, 2000), if any, on computers that may be protected by physical as well as reasonable technological security measures and procedures in accordance with Information Technology Act 2000 and Rules there under. Darto’s current Privacy Policy is available at the Privacy Policy Page. If The Buyers object to Buyer’s Information being transferred or used in this way please do not use Website.
    2. Darto may share personal information with Darto’s other corporate entities and affiliates. These entities and affiliates may market to the Buyers as a result of such sharing unless the Buyers explicitly opt-out.
    3. Darto may disclose personal information to third parties. This disclosure may be required for us to provide the Buyers access to Darto’s Services, to comply with Darto’s legal obligations, to enforce Darto’s Buyer Agreement, to facilitate Darto’s marketing and advertising activities, or to prevent, detect, mitigate, and investigate fraudulent or illegal activities related to Darto’s Services. Darto does not disclose Buyer’s personal information to third parties for their marketing and advertising purposes without Buyer’s explicit consent.
    4. Darto may disclose personal information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to respond to subpoenas, court orders, or other legal process. Darto may disclose personal information to law enforcement offices, third party rights owners, or others in the good faith belief that such disclosure is reasonably necessary to: enforce Darto’s Terms or Privacy Policy; respond to claims that an advertisement, posting or other content violates the rights of a third party; or protect the rights, property or personal safety of Darto’s Buyers or the general public.

Darto and Darto’s affiliates will share / transfer some or all of Buyer’s personal information with another business entity should Darto (or Darto’s assets) plan to merge with, or be acquired by that business entity, or re-organization, amalgamation, restructuring of business. Should such a transaction occur, the other business entity (or the new combined entity), will be required to follow this Privacy Policy with respect to Buyer’s personal information.

    Disclaimer of Warranties and Liability

    2. Darto will not be liable to The Buyers in any way or in relation to the Contents of, or use of, or otherwise in connection with, the Website. Darto does not warrant that this site; information, Content, materials, product (including software) or services included on or otherwise made available to The Buyers through the Website; their servers; or electronic communication sent from Us are free of viruses or other harmful components.
    3. Nothing on Website constitutes, or is meant to constitute, advice of any kind. All the Products sold on Website are governed by different state laws and if Seller is unable to deliver such Products due to implications of different state laws, Seller will return or will give credit for the amount (if any) received in advance by Seller from the sale of such Product that could not be delivered to The Buyers.

Further, subject to the availability of the features, the Buyers shall have the option to use application based communication platforms to contact Darto for any queries, grievances/complaints and feedback.

    2. Stringing will be done using Darto brand string only, use of any external string is prohibited.
    3. Choice of the string is subject to availability, booking doesn't assure the availability of the string.
    4. Serviced racket should be picked the same day or within 2 days to avoid any loss, Darto shall not be responsible for damage, loss incase the product is not picked up in time.
    5. The serviced racket will be given to the customer only when they show the receipt/booking details.
    6. Old/Salvage parts must be picked at the time of taking delivery of the serviced racket, if not claimed at the time of delivery, those will be disposed of off as scrap.
    7. The cost of the string includes the service charges, the bill of the string needs to be shown at the workshop while taking the delivery.
    8. All issues/complaints with regard to the service must be disclosed within 24 hours of delivery. Darto shall not be responsible for addressing any issues not reported at this time.
    9. If the query/concern is not raised within 24 hrs of product collection, it will be construed that the service provided is completed to the customers satisfaction.
    10. Darto reserves the right to deny stringing for any racket if we find the racket is not fit for stringing.

    Cycling Service

    1. - All the issues/complaints with regards to service must be disclosed to Darto. Darto shall not be responsible for the repair of any issue not addressed.
    2. - As per the FDI rules, cycle service is restricted to Darto brand bikes only.
    3. - Same-day delivery is subject to the availability of spare parts, in case if any spare is not available the delivery date may change.
    4. - Service cost doesn't include any spare parts, the cost of the spare parts will be on top of service cost.
    5. - Serviced bike should be picked the same day or within 2 days to avoid any loss, Darto shall not be responsible for damage, loss in case the product is not picked up in time.
    6. - The serviced bike will be given to the customer only when they show the receipt/booking details.
    7. - Old/Salvage parts must be picked at the time of taking delivery of the serviced bike, if not claimed at the time of delivery, those will be disposed off as scrap.
    8. - All issues/complaints with regard to the service must be disclosed within 48 hours of delivery. Darto shall not be responsible for addressing any issues not reported at this time.

    Payment

    1. While availing any of the payment method/s available at the Website/Store, Darto will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to The Buyers due to: a) Lack of authorization for any transaction/s, or b) Exceeding the pre-set limit mutually agreed by The Buyers and between "Bank/s", or c) Any payment issues arising out of the transaction, or d) Decline of transaction for any other reason/s
    2. All payments made against the purchases/services on Website/Store by the Buyers shall be compulsorily in Indian Rupees acceptable in the Republic of India. Website/Stores will not facilitate transaction with respect to any other form of currency with respect to the purchases made on Website.
    3. Before shipping / delivering Buyer’s order to the Buyers, Darto may request the Buyers to provide supporting documents (including but not limited to Govt. issued ID and address proof) to establish the ownership of the payment instrument used by the Buyers for Buyer’s purchase. This is done in the interest of providing a safe online shopping environment to Darto’s Buyers.
    4. Transactions, Transaction Price and all commercial terms such as Delivery, Dispatch of products and/or services are as per principal to principal bi partite contractual obligations between Buyer and Darto and Payment Facility is merely used by the Buyer and Darto to facilitate the completion of the Transaction.
    5. The Buyers have specifically authorized Darto or its service providers to collect, process, facilitate and remit payments and / or the Transaction Price electronically or through Cash on Delivery to and from other Buyers in respect of transactions through Payment Facility. Buyer’s relationship with Darto is on a principal to principal basis.
    6. The Buyers understand, accept and agree that the Payment Facility provided by Darto is neither a banking nor financial service but is merely a facilitator providing an electronic, automated online electronic payment, receiving payment through Cash On Delivery, collection and remittance facility for the Transactions on the Darto Website using the existing authorized banking infrastructure and Credit Card payment gateway networks. Further, by providing Payment Facility, Darto is neither acting as trustees nor acting in a fiduciary capacity with respect to the Transaction or the Transaction Price.
    7. Darto does not provide any credit facilities.
    8. All prices displayed on the Website or at the Stores are final and no further discounts or facilities are available for any customer

    Payment Facility for Buyers

    1. The Buyers understand that upon initiating a Transaction the Buyers are entering into a legally binding and enforceable contract with Darto to purchase the products using the Payment Facility (a mechanism to pay through card, cash, or online medium), and the Buyers shall pay the Transaction Price through Buyer’s Issuing Bank to Darto using Payment Facility.
    2. The Buyers may agree with Darto through electronic communication and electronic records and using the automated features as may be provided by Payment Facility on any extension / increase in the Dispatch and/or Delivery time and the Transaction shall stand amended to such extent. Any such extension / increase of Dispatch / Delivery time or subsequent novation / variation of the Transaction should be in compliance with Payment Facility Rules and Policies.
    3. The Buyers shall electronically notify Payment Facility using the appropriate Darto Website features immediately upon Delivery or non-Delivery within the time period as provided in Policies. Non notification by The Buyers of Delivery or non-Delivery within the time period specified in the Policies shall be construed as a deemed Delivery in respect of that Transaction. In case of Cash on Delivery transactions, Buyer is not required to confirm the receipt of products or services.
    4. The Buyers shall be entitled to claim a refund of the Transaction Price (as Buyer’s sole and exclusive remedy) in case The Buyers do not receive the Delivery within the time period agreed in the Transaction or within the time period as provided in the Policies, whichever is earlier. In case the Buyers do not raise a refund claim using Website features within the stipulated time than this would make The Buyers are ineligible for a refund.
    5. The Buyers understand that the Payment Facility may not be available in full or in part for certain category of products and/or services and/or Transactions as mentioned in the Policies and hence The Buyers may not be entitled to a refund in respect of the Transactions for those products and /or services.
    6. Except for Cash payment at Stores and Cash on Delivery transaction, refund, if any, shall be made at the same Issuing Bank from where Transaction Price was received.
    7. For Cash on Delivery transactions, refunds, if any, will be made via demand draft in favour of the Buyer (As per registration details provided by the Buyer)
    8. Refund shall be made in Indian Rupees only and shall be equivalent to the Transaction Price received in Indian Rupees.
    9. For electronics payments, refund shall be made through Payment Facility using NEFT / RTGS or any other online banking / electronic funds transfer system approved by Reserve Bank India (RBI).
    10. Refund shall be conditional and shall be with recourse available to Darto in case of any misuse by Buyer.
    11. Refund shall be subject to Buyer complying with Policies.
    12. Darto reserves the right to impose limits on the number of Transactions or Transaction Price which Darto may receive from on an individual Valid Credit/Debit/ Cash Card / Valid Bank Account/ and such other infrastructure or any other financial instrument directly or indirectly through payment aggregator or through any such facility authorized by RBI to provide enabling support facility for collection and remittance of payment or by an individual Buyer during any time period, and reserves the right to refuse to process Transactions exceeding such limit.
    13. Darto reserves the right to refuse process Transactions by Buyers with a prior history of questionable charges including without limitation breach of any agreements by Buyer with Darto or breach/violation of any law or any charges imposed by Issuing Bank or breach of any policy.
    14. Darto may do such checks as it deems fit before approving the receipt of/Buyers commitment to pay (for Cash On Delivery transactions) Transaction Price from the Buyer for security or other reasons at the discretion of Darto. As a result of such check if Darto is not satisfied with the creditability of the Buyer or genuineness of the Transaction / Transaction Price, it will have the right to reject the receipt of / Buyers commitment to pay Transaction Price.
    15. Darto may delay notifying the payment confirmation i.e. delay to Dispatch, if Darto deems suspicious or for Buyers conducting high transaction volumes to ensure safety of the Transaction and Transaction Price. In addition, Darto may hold Transaction Price and Darto may not Dispatch or remit Transaction Price to law enforcement officials (instead of refunding the same to Buyer) at the request of law enforcement officials or in the event the Buyer is engaged in any form of illegal activity.
    16. The Buyer and Seller acknowledge that Darto will not be liable for any damages, interests or claims etc. resulting from not processing a Transaction/Transaction Price or any delay in processing a Transaction/Transaction Price which is beyond control of Darto.

    Compliance with Laws

    1. Buyer shall comply with all the applicable laws (including without limitation Foreign Exchange Management Act, 1999 and the rules made and notifications issued there under and the Exchange Control Manual as may be issued by Reserve Bank of India from time to time, Customs Act, Information and Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008, Prevention of Money Laundering Act, 2002 and the rules made thereunder, Foreign Contribution Regulation Act, 1976 and the rules made there under, Income Tax Act, 1961 and the rules made there under, Export Import Policy of government of India) applicable to them respectively for using Payment Facility and Darto Website.

    Buyer's arrangement with Issuing Bank

    1. All Valid Credit / Debit/ Cash Card/ and other payment instruments are processed using a Credit Card payment gateway or appropriate payment system infrastructure and the same will also be governed by the terms and conditions agreed to between the Buyer and the respective Issuing Bank and payment instrument issuing company.
    2. All Online Bank Transfers from Valid Bank Accounts are processed using the gateway provided by the respective Issuing Bank which support Payment Facility to provide these services to the Buyers. All such Online Bank Transfers on Payment Facility are also governed by the terms and conditions agreed to between Buyer and the respective Issuing Bank.

    Replacement Policy

    1. Warranty: The Buyer undertakes to take all the necessary measures to preserve in good condition all the products ordered.
    2. Term: Most of the Darto products are covered by a contractual two year warranty unless otherwise specified on the product or its packaging or by Darto at the time of sale. However, this warranty shall not apply in the case of natural wear and tear of the product, damage caused by negligent use of the product, or by use in a manner for which the product was not intended.
    3. The 15 Day Replacement Guarantee seeks to assist Buyers who have received defective goods due to purchase on the Website. If at the time of delivery and/or within 90 days from the date of delivery of the product/s, if any defect is found, then the buyer of the product/s can ask for replacement of the product/s from Darto subject to the following terms and conditions: a. Notify Darto of any defects in the product/s at the time of delivery of the product/s and/or within 90 days from the date of delivery and the same product/s will be replaced in return of the defective product/s.
    4. Replacement can be for the entire product/s or part/s of the product subject to availability of the same with Darto. Following products shall not be eligible for return or replacement:
    5. a). Damages due to misuse of product; b). Incidental damage due to malfunctioning of product; c). Any consumable item which has been used/installed; d). Products with tampered or missing serial/UPC numbers; e). Digital products/services; f). Any damage/defect which are not covered under the Darto warranty policy; g). Any product that is returned without all original packaging and accessories, including the box, packaging if any, and all other items originally included with the product/s delivered;
    6. On Clothing, and footwear, Darto accepts 90 day exchange subject to the following conditions: a). Clothes and footwear are not used (other than for trial), altered, washed, soiled or damaged in any way. b). Original tags and packaging should be intact. For items that come in packaging, the box should be undamaged. c). Damaged or defective clothing and footwear products are covered by the 30 Day Replacement Guarantee.
    7. If Darto has suspicion or knowledge, that any of its buyers are involved in any activity that is intended to provide claims or information that is false, misleading or not genuine, then Darto may while reserving its rights to initiate civil and/or criminal proceedings against such person may also at its sole discretion suspend, block, restrict, cancel the Display Name of such buyer and /or disqualify that Buyer and any related Buyers from availing protection through this program.
    8. Darto reserves its right to initiate civil and/or criminal proceedings against a Buyer who, files an invalid and/or false claims or provides false, incomplete, or misleading information. In addition to the legal proceedings as aforesaid, Darto may at its sole discretion suspend, block, restrict, cancel the Display Name [and its related Display Names] of such Buyer and/or disqualify that Buyer and any related Buyers from availing protection through this program. Any person who, knowingly and with intent to injure, defraud or deceive, files a Fraudulent Complaint containing false, incomplete, or misleading information may be guilty of a criminal offence and will be prosecuted to the fullest extent of the law.

    Profanity Policy

    1. Darto prohibits the use of language that is racist, hateful, sexual or obscene in nature in a public area.
    2. This policy extends to text within listings, on Seller pages and all other areas of the site that another Buyer may view. If the profane words are part of a title for the item being sold, Darto will 'blur' out the bulk of the offending word with asterisks (i.e., s*** or f***).
    3. Please report any violations of this policy to the correct area for review: a) Report offensive Display Names &anp; b) Report offensive language in a listing or otherwise
    4. If a feedback comment; or any communication made between Buyers on the Website; or email communication between Buyers in relation to transactions conducted on Website contain profanity, please review Darto’s feedback removal policy and submit a request for action/removal.
    5. Disciplinary action may result in the indefinite suspension of a Buyer's account, temporary suspension, or a formal warning.
    6. Darto will consider the circumstances of an alleged policy violation and the Buyer's trading records before taking action.
    7. Violations of this policy may result in a range of actions, including: a) Limits placed on account privileges; b) Loss of special status; & c) Account suspension.

    Indemnity

    1. The Buyers shall indemnify and hold harmless Darto, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers ,directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of Buyer’s breach of this Terms and Conditions, Privacy Policy and other Policies, or Buyer’s violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party. Darto is not responsible for injury to person, or the damage or loss of personal items, occurring at the Store premises, play grounds and parking area of Darto.

    Applicable Law

    1. Terms and Conditions shall be governed by and interpreted and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively in Bangalore.

    Jurisdictional Issues/Sale in India Only

    1. Unless otherwise specified, the material on the Website/Store is presented solely for the purpose of sale in India. Darto make no representation that materials in the Website are appropriate or available for use in other locations/Countries other than India. Those who choose to access this site from other locations/Countries other than India do so on their own initiative and Darto is not responsible for supply of products/refund for the products ordered from other locations/Countries other than India, compliance with local laws, if and to the extent local laws are applicable.     Intellectual Property

    1. Darto is the owner of all the rights of intellectual property attached to the products ordered by the Buyers. Darto reserves the right to proceed to the necessary formalities with the aim of their protection on the Territory. Darto undertakes to the Buyers a non-exclusive right of use on the brands and Protected Elements owned by Darto. The Buyer recognises the existence and validity of the trademark applications or registrations and use of Darto's products and undertakes never to challenge their validity, registration and use in the Territory. The Buyer undertakes not to derive any right from the use of Darto's products and undertakes never to attempt to register, directly in his name or indirectly by a third party, any identical or confusingly similar trademark or internet domain name that may infringe Darto's trademarks or constitute unfair competition. In case the Buyer applies for or uses any identical or similar trademark or domain name to Darto's products, they shall immediately take all necessary actions, at their own expense, to cancel or transfer the infringing trademarks or domain names to Darto upon Darto's first demand. The Buyers undertake to inform and to immediately notify Darto of illicit imitation and more generally of any unfair competition practices based on the Protected Elements.

    Trademark, Copyright and Restriction

    1. This site is controlled and operated by Darto and products are sold by Darto. All material on this site, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights. Material on Website is solely for Buyer’s personal, non-commercial use. The Buyers must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and The Buyers must not assist any other person to do so. Without the prior written consent of the owner, modification of the materials, use of the materials on any other website or networked computer environment or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks and other proprietary rights, and is prohibited. Any use for which The Buyers receive any remuneration, whether in money or otherwise, is a commercial use for the purposes of this clause.

    IPR complaint

    1. In case The Buyers feel that an IPR has been infringed, The Buyers can write to Darto at care.india@Darto.com.

    Product Description

    1. Darto does not warrant that Product description or other content of this Website/Stores are completely accurate, complete, current, or error-free and assumes no liability in this regard.

    Limitation of Liability

    1. IN NO EVENT SHALL DARTO BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THESE TERMS AND CONDITIONS, EVEN IF BUYER HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

    Replacement

    1. Definition: Replacement is the action or process of replacing something in place of another. A Buyer can request for replacement whenever he is not happy with the item, reason being damaged in shipping, Defective item, Item(s) missing, wrong item shipped and the like.
    2. Points to be noted: a. Darto may accept the return irrespective of the policy. b. Darto reserves the right to reject a replacement request.
    3. Buyer need to raise the replacement request within 10 days from the date of delivery of products. Once Buyer has raised a replacement request by contacting Darto on the number provided on the Website or the product. Once the replacement request has been raised, the following steps shall be followed:
    4. Buyer is asked for "Reason for Return". Among others, the following are the leading reasons: • Shipping was damaged • Item was defective • Item(s) were missing • Wrong item sent
    5. An intimation must be provided to Darto seeking either "approval" or "rejection" of the replacement request.
    6. In case Darto accepts the replacement request, Buyer shall be required to return the product to Darto and only after return of the product, Darto shall be obliged to provide the replacement product to the Buyer.
    7. In case Darto doesn't have the product at all, Darto can provide the refund to the Buyer and Buyer shall be obligated to accept the refund in lieu of replacement. All the product parameters shall be required to be complied with in cases of replacement.
    8. All shipping and other replacement charges shall be borne and incurred by the Buyer (if applicable).

    Cancellations

    1. Buyers can cancel your order online before the product has been shipped. The Buyer’s entire order amount will be refunded. In case the item the Buyers have ordered has been shipped but has not yet been delivered to the Buyer, the Buyer may still cancel the order online. The Buyer’s refund will be processed once Darto receives the originally ordered item back from the courier. Unfortunately, an order cannot be cancelled once the item has been delivered to the Buyer. There is no cancellation applicable for purchases made at Darto’s Stores.
    2. In order to Cancel the order, the Buyer can login to the website and click on Return/Exchange/Cancel order link in My Account section. Enter the order details and submit. Once Darto receives the request, Darto will initiate the cancellation request.
    3. Shipping charge will be refunded only if the entire order is cancelled. However for a partial cancellation, Darto does not have a refund for the shipping charge.
    4. The refund will be credited back to the payment mode/account that was originally used to make the transaction.

    Disputes (Resolutions) Policy

    1. Overview: Generally, transactions are conducted smoothly on the Website/Stores. However there may be some cases where both the Buyers and Darto may face issues. Darto’s Dispute Resolution Process is as follows – When there is a dispute between the Buyers and Darto, both Parties shall make all attempts to mutually and amicable resolve such dispute. Failure to do so shall give the aggrieved Party the right to institute appropriate proceedings under the scope of law.
    2. What is a 'dispute'? A 'Dispute' can be defined as a disagreement between a Buyer and Darto in connection with a transaction on the Website/Stores.
    3. How does a 'dispute' occur in the Marketplace? a) Disputes are filed as a result of a disagreement between the Buyer and Darto. Disputes arise out of an issue that is raised by either party not being completely satisfied with the resolution of their complaint/issue. b) It is important that before a Buyer/Darto raises a dispute, they should attempt to solve the issue.
    4. How is a 'dispute' created? Whenever there is a disagreement, the Buyer can write to care.india@Darto.com, in order to raise a dispute. Disputes can be raised at a particular transaction level.
    5. What are the various types of 'disputes'? Following are the indicative examples of potential disputes: a) Wrong item received b) Item Not as described c) Damaged or Seal broken on Product d) Part/Accessory missing e) Item not Compatible f) Seller Description/Specification Wrong g) Defective (Manufacturing defects) h) Product not working i) Darto claims invalid Invoice j) Payment not received k) Theft of a product form Darto’s Stores
    6. Disputes via Chargeback: a) Whenever a chargeback (CB) comes from a payment gateway/bank, following situations may arise: b) Item not received CB - Buyer hasn't received the item. Refund will be created in accordance with the dispute policies c) Unauthorized CB - Buyer hasn't made this particular transaction. Refund will be created in accordance with the dispute policies. d) Item not as described - meaning item is not what Buyer expected. Dispute will be decided in accordance with the dispute policies. e) Darto expressly agrees that issuing the correct and complete invoice is the sole and primary responsibility of Darto.
    7. Email Abuse & Threat Policy: a) Private communication, including email correspondence, is not regulated by Darto. Darto encourages its Buyers to be professional, courteous and respectful when communicating by email. b) However, Darto will investigate and can take action on certain types of unwanted emails that violate Darto policies. c) Such instances: d) Threats of Bodily Harm - Darto does not permit Buyers to send explicit threats of bodily harm. e) Misuse of Darto System - Darto allows Buyers to facilitate transactions through the Darto system, but will investigate any misuse of this service. f) Spoof (Fake) email - Darto will never ask the Buyers to provide sensitive information through email. In case the Buyers receive any spoof (fake) email, the Buyers are requested to report the same to Darto through 'Contact Us' tab. g) Spam (Unsolicited Commercial email) - Darto's spam policy applies only to unsolicited commercial messages sent by Darto Buyers. Darto Buyers are not allowed to send spam messages to other Buyers. h) Offers to Buy or Sell Outside of Darto - Darto prohibits email offers to buy or sell listed products outside of the Darto Website. Offers of this nature are a potential fraud risk for both Buyers and Darto. i.     11. General information:

      1. You agree to the terms and conditions outlined in this Terms of Use Agreement (“Agreement”) with respect to our “Darto Centers”. This Agreement constitutes the entire and only agreement between us and you with respect to the “Darto Centers” and supersedes all prior or contemporaneous agreement, representations, warranties, and understandings concerning the “Darto Centers” the content, products, or services provided by or through the “Darto Centers”, and the subject matter of this agreement.
      2. Darto center membership is for a 10 years only .
      3. Annually Darto center membership will be renewed and fee as per Subscription
      4. Membership Fees are not refundable under any circumstances.
      5. “Darto Centers” equipment provided by Darto is not transferable and is only valid up to its date of expiry and when it has been signed by the center. The card may not be used by any person other than the card

      7. The “Darto Centers” membership card is not a payment card nor is it proof of creditworthiness and attempts to use it as such could constitute fraud.
      8. Admittance to the club is conditional upon the presentation of a valid “Darto Centers” membership card. Payment cards will not be accepted as substitutes for the “Darto Centers” membership card.
      9. ‘Darto Centers’ is a membership program that offers darts sports privileges, access to a range of select centers facilities, promotions, offers, and reservations to individuals at Participating darts (defined below), Partner Darto (defined below), and certain benefits from Program Partners (defined below) of Darto. in the Asia-Pacific region (the “Darto Centers Program”). The services under the Darto Centers Program are available through the Darto Centers web Application, available soon on iOS and Android operating systems (the “Darto App”) which also provides digital membership Details.
      10. The physical membership cards and certificates of existing members of the Darto Centers Program will continue to be valid until the validity of such membership, and the terms of use applicable to such members will be as set here. Renewal of existing memberships will be made available only on the Darto web Site at the relevant time. Darto Centers Program as offered by the Darto is subject to the terms and conditions of use set out herein below (the “Terms and Conditions”) and the other terms stated at the time of use of the benefits and the Privacy Policy available at https://www.darto.in (the “Privacy Policy”), the ‘Licensed Application End User License Agreement’ of Apple, Inc., available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ (“Apple EULA”) and, if applicable, the end-user license agreement about the Google Play Store of Google LLC (“Google EULA”). The Darto Centers Program website, operated by or on behalf of Darto (defined below) is governed by certain terms of use available at https://www.darto.in (“Website Terms of Use”). Please refer to https://www.darto.in for the latest updates on the Darto Centers Program, including the Terms and Conditions, Website Terms of Use, the Privacy Policy, the Participating, Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School and Program Partners. In the event of a conflict between the provisions of the Apple EULA and the Terms and Conditions, the provisions of the Terms and Conditions will prevail. In the event of a conflict between the provisions of the Google EULA and the Terms and Conditions, the provisions of the Terms and Conditions will prevail.
      11. By clicking “I AGREE” or by paying the membership fee or using the benefits of the membership or any feature of the Darto web App, you will be deemed to have read, understood, and accepted the Terms and Conditions of membership, the use of the Darto web Site the Apple EULA, the Google EULA, the Privacy Policy and the Website Terms of Use. If the Apple EULA, Google EULA, Privacy Policy, the Website Terms of Use, or the Terms and Conditions are not acceptable to you, you may exit and refrain from using any feature of the Darto Centers Program and the Darto WebSite.
      12. By accepting the Terms and Conditions, you will be entering into a binding agreement with Darto, Darto Private Limited and their respective affiliates, subsidiaries, associates and group companies, the Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Restaurant, Society, School, Hotels, Resorts and properties participating in the Darto Centers Program and offering all membership benefits, including sale of the Darto Centers Program memberships (the “Participating, Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School”) and Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School, and properties affiliated to Darto offering certain benefits of the Darto Centers Program (the “Partner, Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School”). For a complete list of Participating Center Partners and Program Partners, see https://www.darto.in/partners for the use of the Darto Centers Program.
      13. The use of “we” or “us” in the Terms and Conditions refers to Darto, the Participating centers, and Partner centers.
      14. The benefits, rules, Terms and Conditions, Apple EULA, Google EULA, Privacy Policy, the Website Terms of Use, and the duration of the Darto Centers Program may be modified, withdrawn, added, or deleted, with or without prior notice. All decisions taken by us in this regard shall be final and binding on the members of the Darto Centers Program.
    12. Eligibility Enrollment and Membership

      1. The Darto Centers Program is open only for individuals, and its services may not be available by employees of Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School. unless otherwise expressly authorized by Darto. Darto reserves the right to deny membership to any individual without assigning a reason.
      2. The Darto Centers Program is open only to individuals aged 18 years and above or the age of majority where they live, and who are otherwise competent to contract as per the Indian Contract Act, 1872, as amended. Applicants are responsible for compliance with all applicable laws.
      3. By enrolling and participating in the Darto Centers Program, you agree that we may contact you by electronic mail, by instantaneous chat, or by any other media for which you have provided contact information in connection with your membership by the terms of our Privacy Policy.
      4. Applicants can enroll as a Member and existing Members can renew their membership by creating an account on the Darto. in. Such applicants and existing members will be required to provide valid, accurate, complete, and updated personal information on a mandatory basis, which only includes their first name, last name, mobile number, and e-mail ID to avail of the services under the Darto Centers Program. Applicants will be required to complete two-factor authentication to verify their contact details (i.e. e-mail address and mobile number). This information will be stored and used by the Privacy Policy. We reserve the right to cancel or deny access to any account found to contain false, fictitious, erroneous, or outdated information.
      5. Members are advised to avail a single membership, however, subject to Darto’s discretion. However, an individual Member will have a single unique profile on the Darto web Site irrespective of the number of membership subscriptions availed by them. It is recommended that the Member uploads a profile photo to their profile for a better in-center experience. Such photograph should be of the individual Member only. Photographs of non-members, objects, or locations are not permitted.
      6. Membership benefits may be availed only by Members, and are accessible only through a single phone device registered by them at the time of creating their account. This device can be automatically changed by the Member once through the Darto web App, and through the Program Contact Center for any subsequent changes. If a Member inadvertently creates a duplicate account by using different or alternate contact details, the details provided in the new account may be merged and consolidated into their previous account.
      7. If you wish to avail of the input tax credit on your membership fee under the Good and Services Tax law applicable in India (“GST”), we request you to provide us with your GST registration number and the company name at the time of making the payment on the Darto web Site or within one week of an offline purchase of the membership to the Darto Centers Program. These details will need to be updated in the personal profile of the Darto web App.
      8. Members are responsible for maintaining the confidentiality of the information provided by them on the Darto web Site and for the security of information on the Darto web App. Members will receive a text message (SMS) and/or e-mail notification of each transaction on the Darto web Site which they are required to authorize through a one-time password. We are not responsible for any unauthorized access to the Member’s account or any unauthorized redemption from the Member’s account. Members must immediately report any fraudulent activity on the Darto web Site to the Darto Centers Program Contact Center.
      9. The Darto Web Sites should not be used for commercial purposes, unlawful, immoral, or illegal purposes, or any purpose other than those stated in the Terms and Conditions. We reserve the right to deny access to the Darto web Site to any user who violates the Terms and Conditions, the Website Terms of Use, and the Privacy Policy, or at our sole discretion.
      10. Members must not engage in any conduct or do anything that would damage, impair or interfere with the operation or security of the Darto web Site, the system hosting the Darto web App, or any of our computer systems. Members are requested to keep the Darto Centers webSite updated on version updates to ensure a seamless experience and continuity of all the benefits.
      11. By accepting the terms and conditions of the Darto Centers membership program and consent to the collection, use, and processing of your personal data as detailed above and in the Privacy Statement, you understand that your personal data may be transferred to Darto, and handled by Darto by the Darto Group Privacy.
    13. Membership Card and Certificates

      1. Membership cards will be issued digitally to the Member through the Darto web Site and will be valid for 12 calendar months or as specified from the date of their issuance. Membership may be renewed through the Darto web Site after the expiry period.
      2. All benefits through the use of digital are for one-time use only and must be redeemed after verification through a one-time password sent to the Member on the Darto WebSite. In addition, Members may be requested to present a valid photo ID at the time of redemption to confirm identity. All confirmed redemptions are deemed final to which no refunds or changes may be made.
      3. Membership has no cash value and cannot be traded for any other service. Subject to Part VII (Gifting policy), certain kinds of items may be gifted to another individual through the Darto web Site as stated on the individual. Such a Gift can only be retrieved by the recipient of the gift by downloading the Darto web Site and accepting these Terms and Conditions.
      4. All Sports have to be utilized as fun and cannot be exchanged for cash or any other service. In the event a Member makes a reservation through the Darto web Application, such Member is required to redeem, cancel or modify the service reserved solely through the Darto WebSite. Once the Darto membership has been used for the reservation of a service, it cannot be used for any other reservation until the original reservation has been redeemed, canceled, or modified. In the event of a no-show for a reservation, the membership will be considered to have been redeemed.
      5. A Member must ensure that the redemption is valid for that visit or else there may be a risk of losing that one-time benefit. Redemption of benefit must be done only after the Member has arrived at the Participating Darto center Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School.
    14. Intellectual Property

      1. The Darto Web Site contains proprietary information, content, and materials, including but not limited to the domain name, icons, logos, trade names, trade secrets, and trademarks about the Darto brand (the “Darto Materials”) that are owned by Darto and is protected by applicable intellectual property and other laws. No license is granted in respect of those intellectual property rights. The use of the Darto Web Site by any person does not grant, transfer to or confer upon such person any right, title, or interest in the Darto Materials.
      2. The Darto web Site also contains proprietary information, content, and materials, including but not limited to designs, flows, copyright, trademarks, patents, software codes, source code, and other underlying technology and user interface and user journey, that are owned by Darto and is protected by applicable intellectual property and other laws. No license is granted in respect of those intellectual property rights. The use of the Darto Web Site by any person does not grant, transfer to or confer upon such person any right, title, or interest in the Darto Materials.
      3. Users agree that they will not use the Darto Materials (collectively, the “Intellectual Property”) in any way whatsoever except for use of the services available on the Darto web Site in compliance with the Terms and Conditions. Users must not use, copy, modify, publish, reproduce, distribute, re-transmit, transfer, upload, download, sell, license, reverse engineer, decompile, or disassemble the Intellectual Property, without the prior written consent of Darto or TLC (as applicable). Users must also not engage in any conduct that infringes, violates, or misappropriate any Intellectual Property rights of Darto, or any other party, and such infringement, violation, or misappropriation shall amount to a breach of the Terms and Conditions.
      4. Darto reserves the right to take any administrative and/or legal action in the event of misuse, infringement, violation, or misappropriation of the Intellectual Property by any users. You agree to indemnify, defend and hold Darto and our affiliates, subsidiaries, directors, officers, employees, consultants, agents, and other representatives, harmless from and against any claims, judgment, deficiencies, damages, liabilities, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from an infringement or misuse of the Intellectual Property.

      8. Exclusive State Training Center : 1 Exclusive State Training Centers Grant franchises for state-of-the-art
      9. training facilities in each state to the state President.
      10. % Center Revenue : % of State Training Center Revenue is Retained by the Team Owner
      11. % Sponsors Revenue : % of local Team Sponsors
      12. % Central Revenue Pool : % of the central revenue pool is distributed equally among all 32 State teams
      13. 50% Prize : 50% of Team Prize Winning goes to the team owner/franchise 50% is distributed among the players. Shares : shares in the Venture
      14. % Merchandise Revenue : % of the revenue from state merchandise, including jerseys, caps, and more, is retained by team owners/franchises.
      15. Chairmen Title : The team owner will represent the state and hold the exclusive title of President of [State Name], granted to only one individual
      16. Tournament Participation: The team patron can also join as a team member, actively participating in the tournament as a player to support their team both internally and externally.

      19. Right to Sale of Team : Team owners can sell their team, but 20% of the sale value must be paid to Darto. This amount will not be included in the central revenue pool.
      20. Team Size : The official state team will have 16 players to participate in the tournament, or as per the championship rules.
      21. Team Identity : Exclusive Rights: Personalized Team Identity: (e.g., "Mumbai Marksmen," "Delhi Darters, Jaipur Warriors"). Custom Team Name: Allow team owners to choose their team name (within guidelines).Unique Branding: Offer options for custom logos, slogans, and merchandise designs tailored to their team. there should not be any copyright and trademark issue as per law

      25. Logistics and Travel expenses for away games.
    16. Program Partners

      1. Program Partners are certain third-party entities that provide benefits to members of the Darto Centers Program from time to time (“Program Partners”). By enrolling and participating in the Darto Centers Program, members agree that Darto may communicate offers from Program Partners to members on the Darto web Site by Social media page, telephone, by text message, by electronic mail, by instantaneous chat, or by any other media for which members have provided contact information in connection with their membership.
      2. Offers from Program Partners are subject to requirements under separate terms and conditions of each Program Partner. Members are responsible for directly checking and complying with a Program Partner’s terms, conditions, and privacy and usage policies. Nothing in the Terms and Conditions is intended to or shall create or establish any agency, partnership, or joint venture relationship between us and the Program Partners.
      3. Program Partners may add, modify, withdraw or delete any of the benefits offered by them under the Darto Centers Program, with or without prior notice. All decisions in this regard shall be final and binding on the members of the Darto Centers Program.
      4. Darto, Participating Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School, Program Partners and their respective affiliates, subsidiaries, and the owners, licensors, suppliers, advertisers, sponsors, operators, franchisees, directors, officers, managers, employees, consultants, agents, and other representatives (collectively, the “Darto Centers Parties”) (i) make no guarantees, warranties, or representations of any kind, express or implied, concerning benefits, services, products, items or merchandise of Program Partners, and (ii) assume no liability for changes in or discontinuance of the terms and conditions, privacy and usage policies, products or services of the Program Partners program or other vendor's loyalty program.
      5. Darto shall not be liable for any expense, damages, losses, liabilities or costs (including, without limitation, attorneys’ or other legal fees), accident or inconvenience that may arise in connection with (i) the use of benefits, services, products, items or merchandise of Program Partners or (ii) the discontinuation of a Program Partner’s loyalty program, or (iii) as a result of any defense or failure of such items, or (iv) as a result of any Member’s participation in a Program Partner’s loyalty program. Any implied warranties of merchantability or fitness for a particular purpose are specifically disclaimed.
    17. Benefits

      1. The benefits of the Darto Centers Program may be availed through paid membership. Certain features may be availed without a paid membership where Members may freely download and use the Darto WebSite. Membership benefits may vary, depending on the center’s Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society, and School where the membership is purchased and used or when the Darto web Site is provided by a Program Partner or a third-party to its customers or used by a Member without a paid membership.
      2. The benefits of the Darto Centers Program are offered solely at the discretion of Darto, the Participating Bar, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, Restaurant, Society and School and Program Partners. Not all services and benefits are provided by all Participating bars, Bare Shall, Business Center, Café, Club, Co-Working, Office Space, Hotels, Resorts, restaurants, societies, and School. Membership benefits are subject to availability and may be changed without prior notice and we will not be liable to the Member for any compensation in the event of denial of such benefits or services.
      3. Dress codes and child policy may apply at certain hotels. Liquor would be served only to guests who have attained the minimum legal age for purchase and/or consumption of alcohol in accordance with applicable law. cannot be guaranteed at the time of reservation.
      4. The Participating in Darto centers or reserves the right to require proper proof of identity (e.g. passports or national identity cards) from any person checking in. The Participating centers or Partner centers have the absolute discretion to refuse to check-in any guest who is unable to provide proper proof of identity.
      5. Eligible purchases of centers benefits made under the Darto Centers Program exclude (i) service charges and taxes; (ii) purchases made during the blackout dates or any other day as specified by the Participating Hotel, Resorts or Partner Hotel; (iii) purchases for specific events such as weddings, conferences, or special events; (iv) purchases made in conjunction with other prevailing offers, special promotions or discount programs; and (v) bookings and reservations made for the purposes of reselling, advertising or marketing the reservations (whether online or otherwise) to third parties including by online agents, third-party owned websites, corporations or travel agents for commission. Darto, the Participating Hotels and/or Partner Hotels shall determine in their sole discretion whether a purchase constitutes an eligible purchase, and the Member agrees to abide by, and to be bound by, such determination.
    18. UNIQUE EXPERIENCES AND EVENTS

      1. Paid Darto Centers Members are eligible to avail the benefits of unique experiences curated by the Darto Centers Program with special and unique offers. These are available on the Darto web Site and will be subject to their respective terms and conditions.
      2. Unique experiences are subject to availability and non-transferable and members are prohibited from selling, assigning, transferring, re-marketing, or otherwise disposing of a unique experience that has been redeemed. Members participate in unique experiences at their own risk and are deemed to have agreed to release and hold us harmless from and against any loss, damage, injury, claim or cause of action arising out of participation in an experience.
      3. Eligible purchases of unique experiences made under the Darto Centers Program exclude (i) service charges and taxes; and (ii) purchases made in conjunction with other prevailing offers, special promotions, or discount programs. Darto, the Participating centers and/or Partner centers shall determine in their sole discretion whether a purchase constitutes an eligible purchase, and the Member agrees to abide by, and to be bound by, such determination.
    19. Darto Experience Gift Cards and Certificates

      1. Gift cards may be issued by Darto and purchased by Members in either digital or physical form on the Darto web Site for self-use or gifting to any person including certificates providing certain benefits (the “Gift Certificate”) and cash certificates pre-loaded with a certain monetary amount not exceeding INR 5,000, which may be redeemed by the recipient for select benefits at a Participating Hotel or Partner Hotel (the “Darto Experience Certificate”, collectively “Gift Cards”). Use of Gift Cards may be subject to GST and is also subject to additional terms and conditions printed on the Gift Cards, as set out below.
      2. Gift Cards are designed and available for members in either physical or digital form. Digital gift cards are redeemable only through the Darto web Site and physical gift cards are redeemable only in person at the centers where they are being redeemed. Gift cards are valid for a limited period (typically three months from the date of purchase).
      3. Certain additional eligibility criteria may be imposed by Darto, the Participating Centers, and/or Partner centers on recipients of Gift Card benefits (i.e., in case of accommodation benefits, the recipient is required to be aged 18 or above).
      4. Gift Cards carry no value unless they are activated. Gift Cards are not returnable, refundable, or redeemable for cash, and may not be reloaded, resold, or transferred for value. Any unused amount on the Gift card will lapse and cannot be carried forward or returned in cash. Gift Cards may not be used for availing any benefits from Program Partners. Gift Cards transferred fraudulently, unlawfully, or otherwise in violation of these Terms and Conditions, are subject to cancellation. Darto, the Participating Hotels and/or Partner Hotels reserve the right to institute additional security and verification procedures at the time of redemption of Gift Cards to prevent fraud and misuse.
      5. Darto, the Participating Hotels and/or Partner Hotels reserve the right to alter, withdraw, or institute additional requirements regarding the use of Gift Card benefits. We are not liable for cancellation or denial of Gift Card benefits to any members or Gift Card recipients.
      6. Members can personalize a Gift Card by uploading an image that will be printed on the front of the Gift Card or creating a video that will be sent with the Gift Card (only available for digital Gift Cards).
      7. In order to personalize the Gift Card, the procedures set out in the online purchasing and gifting system in the Darto web Site must be followed. The Member is obliged to indemnify and shall release and keep us fully harmless from any third-party claim or damage incurred as a consequence of a Member’s personalized Gift Card
    20. Referral Policy

      1. Members may refer the Darto Centers Program to a friend or any other person and upon successful enrollment in the Darto Centers Program by such person, the referring Member will be eligible for a referral benefit in the form of an e-Certificate with a value of INR 1000 or any other amount as may be decided by Darto from time to time which may be digitally redeemed at the Darto webSite.
      2. These Terms and Conditions shall apply separately and independently to each Member enrolled in the Darto Centers Program, including each person enrolled by referral from a Member.
    21. Cancellation or Termination of Membership

      1. CANCELLATION
        1. Members who wish to discontinue their membership are required to submit a written request of cancellation and refund (if applicable) within 7 days of becoming a Member. Upon submission of a written request, termination is irreversible. The membership account of the concerned Member on the Darto web Site will be closed, and the total amount of the membership fee will be refunded provided that no benefits under the Darto Centers Program have been used by the Member and the refund requested adheres to the given timeline. The refund will be processed upon the receipt of the membership card if any, and the written request for cancellation of membership.
      2. TERMINATION
        1. Membership will end automatically upon the death of the Member.
        2. Darto may immediately, without notice or limitation, terminate any membership to the Darto Centers Program at its sole discretion without assigning any reason or if the Member: (i) violates these Terms and Conditions, the Privacy Policy, the Website Terms of Use or any other applicable additional terms, or appears to be utilizing the benefits under the Darto Centers Program in a manner inconsistent with these Terms and Conditions or the intent of the Darto Centers Program; (ii) fails to promptly pay any applicable dues; (iii) is suspected or found to be acting in an abusive or fraudulent manner or engaging in any conduct that artificially, improperly, or deceptively impacts the use of membership benefits (including, without limitation, use of any “bot,” macro, or other automated means of participating in the Darto Centers Program); (iv) attempts to transfer their account to another Member or a third party, except with the express written permission of Darto; (v) makes any misrepresentation in connection with the Darto Centers Program; (vi) impairs the normal functioning of the Darto Centers Program website or the Darto web Site or the Darto Centers Program; (vii) disturbs other guests or otherwise disrupts or impairs the normal operation of Darto, any Participating Hotel and/or Partner Hotel; (viii) acts in a manner detrimental to us or any third party (including, without limitation, behaving towards any Darto employees or other guests of a Participating centers or Partner centers in any manner that is abusive, harassing, threatening, derogatory, disrespectful, lewd, obscene, offensive, or otherwise inappropriate, as determined by Darto in its sole discretion); or (ix) acts in any manner inconsistent with applicable law; or (x) allows their membership account to remain inactive for a period of two months or more; or (xi) files for insolvency or bankruptcy, or is otherwise subject to a bankruptcy proceeding.
        3. Membership cards must be returned to Darto, the Participating center, and/or Partner centers upon the termination of membership of any Member.
        4. Members agree that Darto, the Participating centers, and/or Partner centers have the right to monitor membership accounts at any time and without prior notice for compliance to the Terms and Conditions. Any fraud or abuse about the Darto Centers Program is subject to appropriate administrative and/or legal action, including termination of membership.
        5. Lifetime Term: According to Darto, a full lifetime is defined as 10 years.
      3. Termination of Darto Centers Program
        1. If the Darto Centers Program is terminated, all unredeemed benefits will be forfeited without the imposition of any obligation, refund, or liability on us, unless otherwise announced by us. Upon termination, there shall be no obligation on us to offer a replacement program. Darto, the Participating centers, and/or the Partner centers reserve the right to determine in our sole discretion how to handle any benefits under the Darto Centers Program to activities occurring after the effective date of termination. Such discretion may include declining to provide such benefits after the effective date of the termination. all the equipment should be returned and pay INR ten lakh.
    22. General Disclaimer

      1. If Participating centers or Partner centers ceases to operate as a hotel owned, managed, operated, franchised, or licensed by Darto, or if such hotel ceases to be Participating centers or a Partner centers (as applicable), you will not be eligible to redeem any benefits under the Darto Centers Program, for an otherwise qualifying activity at that property, even if the stay was booked before the hotel ceased to be associated with Darto or ceased its participation in the Darto Centers Program.
      2. If a Program Partner ceases to be affiliated with Darto or ceases its participation in the Darto Centers Program, you will not be eligible to redeem any benefits provided by such Program Partner, even if the benefit was requested for before such Program Partner ceased its participation in the Darto Centers Program.
      3. The use of benefits under and participation in the Darto Centers Program, including, but not limited to, the collection of certificates or other benefits may be subject to fees and taxes in the relevant jurisdiction. As a result, members will be required to pay such fees and taxes as applicable. Any tax liability, including disclosure to third parties, connected with the receipt or use of any of the benefits under the Darto Centers Program is the Member’s responsibility. We are not liable for any such tax liability, duty, or other charges.
      4. Any request for online payment for payment of membership fee or the purchase of any benefit under the Darto Centers Program is transferred to and processed by a third-party payment gateway service provider. We do not store any debit/credit card information of any Member in our database or any data backup system or retrieval system. For abundant caution, each transaction done through the Payment Gateway has a limit of INR 50,000 (Indian Rupees Fifty thousand only). The Darto Centers Parties specifically disclaim all warranties and conditions of any kind, whether express or implied, about the operation of the payment gateway, and shall not be liable for any monetary or other damage suffered by any person due to (i) any delay, failure, interruption, or corruption of any data or other information transmitted in connection with the use of the payment gateway or any services in such connection; and/or (ii) any interruption or errors in the operation of the payment gateway.
    23. No Warranties Limitation of Liability

      1. The Darto Centers Program is made available to you on an as-is, as-available basis, without representations or warranties of any kind, whether express or implied. Darto Centers Parties make no representation about the suitability of the Darto Centers Program for you. The Darto Centers Parties specifically disclaim all warranties and conditions of any kind, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
      2. Your participation in the Darto Centers Program is voluntary, by your own choice, and at your own risk. The Darto Centers Parties do not warrant or represent that your access to the Darto web Site will be uninterrupted or error-free or that any information, data, content, or other material accessible through the Darto web Site will be free of viruses, bugs, malware, or other harmful components that may interfere with or damage the operation, security or functionality of your device(s).
      3. Without limiting the foregoing, the Darto Centers Parties do not represent or warrant that the information related to the Darto Centers Program is accurate, complete, reliable, useful, timely, or current or that the Darto Centers Program will operate without interruption or error. Despite commercially reasonable efforts the Darto web Site, website, and other materials may contain typographical or other errors or inaccuracies, including, without limitation, regarding the benefits of the Darto Centers Program. No Darto Centers Party will be responsible for any such error, typo, or misprint in these terms or any such program materials. The Darto Centers Parties reserve the right to void or refuse to process any benefit or transaction arising out of such an error, typo, or misprint. The materials on the Darto web Site are for general information only and nothing on the Darto website contains professional advice or any binding commitment about the accuracy, reliability, or availability of the products and services on offer.
      4. You acknowledge that your access to the Darto web App and the ability to redeem the benefits of the Darto Centers Program is only through your device(s) and depend on the mobile network carrier or internet. You agree that the Darto Centers Parties are not responsible for any delays, interruptions, or suspension of the services available through the Darto web App which are caused by the failure of network connectivity. You agree to bear the expenses in respect of maintaining network connectivity to use the Darto WebSite. You also agree that Darto Centers Parties are not responsible for any malfunctions, failures, difficulties, lost, stolen, or misdirected messages, transmissions or entries, or the security of any communications entered into by you. To the fullest extent permitted by law, the Darto Centers Parties shall not be responsible for injury, loss, or damage to your device(s), or interception, use, or disclosure of confidential information (such as credit/debit card information or other personally identifiable information), arising out of your use of the Darto web App or any sites linked or associated with the Darto WebSite.
      5. The Darto Centers Parties will not be liable for any acts, errors, or omissions of any other Member, third party, or program participant or any third party’s loyalty or rewards program.
      6. In no event will a Darto Centers Party be liable to you for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the Darto Centers Program. You agree that the Darto Centers Parties’ total cumulative liability in connection with or arising out of the Darto Centers Program and these Terms and Conditions, will not exceed the amount paid by you directly as membership fee towards your participation in the Darto Centers Program.
    24. Indemnification

      You agree to indemnify, defend and hold Darto Centers Parties, harmless from and against any claims, judgment, deficiencies, damages, liabilities, losses, costs (including reasonable attorneys’ fees), and other expenses that arise directly or indirectly out of or from (a) a breach of these Terms and Conditions, the Website Terms of Use or the Privacy Policy; (b) any allegation that any information or other materials submitted to us infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (c) the use of the benefits under the Darto Centers Program, the website or any related product or service by any Member.
    25. Binding Decisions

      1. All decisions by us, where applicable about the Darto Centers Program, including the benefits offered under the Darto Centers Program, the conditions of membership, termination of membership, membership accounts on the Darto web Site or closure or withdrawal of benefits are final and binding on all members and applicants.
      2. All interpretations of the Terms and Conditions are at our sole discretion, where applicable, and our decision will be final and binding. If the English version of these Terms and Conditions conflicts with any other language version, the English version shall prevail.
    26. Governing Law

      The Darto Centers Program and these Terms and Conditions are governed by the substantive laws of India.
    27. Nationality

      Nationality must be Indian, and participants must present a valid Indian government-issued document at the time of the audition round and as per official required for verification
    28. Dispute Resolution

      1. Any disputes or controversy arising out of or relating to these Terms and Conditions shall be settled by arbitration to be held in New Delhi in accordance with the Arbitration and Conciliation Act, 1996 as amended, in the English language, and shall be heard and determined by an arbitral tribunal composed of a sole arbitrator appointed by agreement between the parties to the dispute hereto. If the parties fail to reach an agreement with respect to the appointment of an arbitrator within 30 calendar days of any party’s notice to the other party of the existence of a dispute, the parties shall appoint one arbitrator each and the arbitrators appointed by the parties shall appoint a third presiding arbitrator. The decision of the arbitrator(s) shall be final, conclusive, and binding on the parties. Notwithstanding the foregoing, however, nothing contained herein shall be deemed to prevent either party from seeking and obtaining injunctive and equitable relief from any court of competent jurisdiction without the posting of any bond or other security.
      2. Subject to the above, each of the Parties submits to the exclusive jurisdiction of the courts at New Delhi.
    29. Program Contact Centers

      All members may request assistance from the dedicated program contact center. The operating hours for the program contact centers are from 10 AM to 6 PM monday to friday or write to info@darto.in.
    30. Bullseye Game Show

      Bullseye Game Show – ₹1 Crore Prize Rule (501 Darts Game): Participants in the Bullseye Game Show have the chance to win a grand prize of ₹1 crore by successfully completing the 501 darts game within the given limit.
      1. Game Format: 501 Darts Game
        1. Each player starts with 501 points and must reduce their score to exactly zero by throwing darts at the numbered segments of the board.
        2. The game must be completed in exactly 9 darts (3 rounds of 3 throws each) to qualify for the ₹1 crore prize.
      2. Winning Criteria for ₹1 Crore Prize:
